Corporate AV Hire Agreement & Terms of Service

This document outlines the binding terms of service for the hire of audio-visual equipment and the engagement of technical production services from JJ Sound (Pty) LTD. Accessing our website or engaging our services constitutes agreement to these terms. This agreement is designed to ensure a professional, reliable, and zero-failure event production environment.

1. Definitions

  • "The Company," "We," "Us": Refers to JJ Sound (Pty) LTD, a specialist provider of corporate event technology and support.
  • "The Client," "You": The individual, entity, or agency engaging The Company for services.
  • "Equipment": All audio-visual technology and associated hardware provided, including but not limited to laser projectors, fast-fold screens, sound systems, digital mixers, wireless microphones, and all necessary cabling.
  • "Services": All professional services rendered, including technical consultation, system design, delivery, setup, on-site technical direction, and collection.
  • "Dry Hire": The provision of Equipment only, for client collection, operation, and return.

2. Quotations & Service Level Agreements (SLAs)

  • All quotations are formal proposals valid for 14 days and are subject to equipment availability.
  • A booking is confirmed only upon receipt of a signed agreement and the required deposit.
  • Equipment Substitution: We reserve the right to substitute specified equipment with items of an equal or superior technical specification to ensure optimal performance.

3. Financial Terms & International Payments

  • Deposit: A non-refundable deposit of 50% is required to secure equipment and personnel for the specified event date.
  • Final Balance: The outstanding balance is due no later than 24 hours prior to the commencement of event setup, unless a 30-day corporate account has been pre-approved in writing.
  • International Clients: Payments via SWIFT transfer are accepted. Please ensure all bank transfer fees are covered by the sender. Invoices will be issued in South African Rand (ZAR).
  • Overdue Accounts: The Company reserves the right to charge interest at a rate of 2% per month on all overdue accounts.

4. Client Responsibilities & Dry Hire Protocol

  • Assumption of Risk: For all Dry Hire agreements, the Client assumes full and unconditional responsibility for the Equipment from the moment of collection until its confirmed return and inspection at our premises.
  • Competent Use: The Client warrants that the Equipment will be operated by competent, trained individuals in a safe, professional, and appropriate manner.
  • Liability for Loss or Damage: The Client is fully liable for any and all loss, theft, or damage to the Equipment during the hire period, irrespective of cause. We mandate that the Client secures adequate short-term insurance to cover the full replacement value of the hired Equipment.

5. On-Site Operations & Venue Requirements

  • Safe Environment: The Client must guarantee a safe and secure working environment for our technicians and equipment, free from physical and environmental hazards.
  • Venue Access: The Client must arrange and guarantee adequate and timely access to the venue for setup, rehearsals, and breakdown as per the agreed production schedule. Delays caused by venue access issues may incur additional charges.
  • Power Supply: The Client must provide access to a stable and sufficient electrical supply. The Company is not liable for any event failure resulting from inadequate, unstable, or interrupted venue power. We strongly recommend consultation on power requirements for large productions.

6. Cancellation & Postponement

  • All cancellations or postponements must be submitted in writing.
  • Cancellation >14 Days Prior: The 50% deposit is forfeited.
  • Cancellation <7 Days Prior: The Client is liable for the full (100%) hire fee, as equipment and personnel will have been irrevocably allocated.

7. Confidentiality & Intellectual Property

  • Our technicians and staff operate under a strict policy of non-disclosure. We will not disclose, share, or reproduce any sensitive or proprietary information presented on or through our equipment during your event.
  • We are amenable to signing client-provided Non-Disclosure Agreements (NDAs) for high-sensitivity events.

8. Limitation of Liability

  • The Company's total aggregate liability for any claims, losses, or damages arising from this agreement shall be strictly limited to the total hire fee paid by the Client.
  • We shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or business opportunities. Our commitment is to provide technically sound, professional-grade equipment and services, but we do not guarantee against unforeseeable technical failures.

9. Force Majeure

  • The Company shall not be held liable for any failure or delay in performing its obligations where such failure or delay is caused by events beyond our reasonable control, including but not limited to acts of God, war, civil unrest, labor disputes, transportation failures, or governmental regulations.
